Terms and Conditions
The following Terms and Conditions (“Conditions”) are to be read in conjunction with the Terms and Conditions for the User as available on www.rdserviceonline.com (“Website”) and in case of any conflict, the present Conditions shall prevail.
Please read these Conditions carefully before placing an order with the Company. By placing the order, you are deemed to have read, accepted and agreed to be bound by these Conditions.
The Contract
Your order is an offer to buy the product as selected by you through your account on the Website. Your placement of order, completion of details and offer for payment does not confirm acceptance of your offer by the Company. The Company’s acceptance of your offer and conclusion of contract of sale shall deemed to be completed when the said product is dispatched to you through the recognized mode of delivery.
Proposed Use
You understand and agree that the said product is available for the institutional consumers only and you hereby confirm that proposed use of the product is for institutional purpose only and not for any commercial or trade purpose. In case you are not categorized as institutional consumer under applicable laws (including but not limited to the Legal Metrology Act, 2009 and Rules framed thereunder), you agree to cancel the transaction immediately.
Your contract is with the Company and you hereby confirm that the product ordered by you is being procured for institutional use only and not for trade / re-sale to any third party.
You authorize us to declare and provide declaration to any authority on your behalf stating the aforesaid purpose of the product ordered by you.
You hereby undertake and confirm that you shall use the product as per the prescribed instructions and guidelines, in accordance with the applicable laws of India and shall be responsible for safety and access of the product. The Company shall NOT be responsible for any theft, misappropriation, unauthorized use or any illegal activity in relation to or through use of the product purchased by you.
In case the product is being used for any Aadhaar related services, you hereby declare and confirm that you are fully aware and understands the provisions of the Aadhaar (Targeted Delivery of Financial and Other Subsidies, Benefits and Services) Act, 2016, as amended (“Aadhaar Act, 2016”) and its Regulations made thereunder and undertake that you shall at all times abide by the same. You further declare that you are fully aware that you shall be liable for penal provisions, as applicable for any contravention of the Aadhaar Act 2016. You shall ensure that all declared usage shall comply with the provisions of the Aadhaar Act and rules, regulations, notifications and circulars issued thereunder.
Product
The Company reserves the right to alter, modify and amend the product to confirm to the legal, regulatory, technological or industry requirements.
Cancellation
You cannot cancel your order of the product after the Company has dispatched the said product to the shipping address provided by you. In case you wish to cancel the order before dispatch, you should contact the customer care executive and any such cancellation shall be at the sole discretion of the Company. No fees shall be charged by the Company for cancellation before dispatch of the product.
Returns
The Company shall not accept return of the product once sold, unless there is a manufacturing defect and the Company is notified in accordance with these Conditions. The terms of return shall be communicated by the Company at the time of your notification to the Company in accordance with present Conditions.
Pricing and Payment
The price communicated to you and paid by you through online payment gateway shall be the final price for the product, inclusive of standard delivery charges and other charges. The Company may not offer any discount on the said price.
Your payment shall be processed through any of the available online payment gateway and any dispute (including but not limited to fraudulent transactions) in this regard shall be governed by the terms and policies of such online payment gateways. No complaint shall be entertained by the Company in this regard.
Taxes
All prices are inclusive of Goods and Services Tax ("GST"), other taxes, duties and cess as applicable, unless stated otherwise.
Availability and Dispatch
The product sold by the Company is shown on the Website, however, the same does not guarantee the availability of product at all times. As the Company process your order, you will be informed by call or e-mail if any product you order turn out to be unavailable.
Further, the dispatch details are only estimates and they do not guaranteed dispatch times and should not be relied upon as such. Such dispatch and delivery timeline may change due to events beyond Company’s control.
The product shall be delivered in accordance with the Company policy. The delivery shall be attempted through recognized commercial courier or Indian Postal Services, which shall be communicated to you at the time of dispatch. The responsibility and liability of the Company shall subsist till the Product is handed over to the recognized commercial courier or Indian Postal Services.
Acceptance & Limited Warranty
You should promptly inspect the product for any damage, defect or shortage immediately upon receipt and forthwith give notice to the Company about any such damage, defect or shortage. Any failure to notify the Company within 3 (three) days of receipt of product shall construe your unconditional acceptance of the product and no claim or return request shall be entertained thereafter.
The product price shall be inclusive of limited warranty of 1 (one) year from the date of invoice. The warranty shall include only manufacturing defects or defects in craftsmanship. any damages caused by mishandling, any burns corrosion, abrasions, cuts or any damages caused by exposure to chemicals, fire, water etc. are not considered for warranty coverage. All other terms of warranty shall be communicated by the Company.
The product price shall also be inclusive of 1 (one) year free RD service, effective from date of invoice, through the Website. The terms and conditions for availing said RD services is available on the Website.
Product Disclaimer
EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE COMPANY DO NOT MAKE, AND HEREBY DISCLAIM, ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, TECHNICAL PERFORMANCE AND NON-INFRINGEMENT.
Losses & Liability
The Company shall not be responsible for any business loss (including loss of profits, revenue, contracts, anticipated savings, data, goodwill or wasted expenditure) or any other indirect or consequential loss that you may suffer on account of use of product or services of the Company. Further, the Company shall not liable for any subsequent transactions or activities following sale of product to you, or any direct or indirect issues arising out of it.
The Company’s maximum liability, under all circumstances, shall be limited to the value of the product purchased by you for the transaction under reference.
Indemnity
You undertake to indemnify, defend and hold harmless the Company and its directors, officers, employees, representatives, agents etc. (“Indemnified Party”) to the fullest extent from and against any and all claims, actions, losses, damages, penalties, liabilities, costs, charges, expenses, suits, or proceedings of whatever nature made, suffered or incurred, including, any legal or other fees and expenses incurred by Company, arising out of or in connection with the faults/breaches of yours.
Title
Title of the product shall pass to you on delivery of the product.
Collection of Data
The Company reserves the right to collect and store your data including name, contact information and other details. All information collected from you is on a bona fide basis. Misuse and misrepresentation of identity or contact details may lead to necessary action by he Company.
Intellectual Property Rights
The Company is the sole owner or lawful licensee of all the rights to the Website and its content. Website content means its design, layout, text, images, graphics, sound, video, etc. The Website content embodies trade secrets and intellectual property rights protected under worldwide copyright and other laws. All title, ownership and intellectual property rights in the Website and its content shall remain with the Company.
The Company’s logos and other registered and unregistered trademarks are trademarks belonging to Company. Company gives no permission for the use of these trademarks and such use may constitute an infringement of Company’s rights.
Valid Contract
Only a major, who can form a legally binding contract under the Indian Contract Act, 1872 can purchase the product from the Company. In case you are minor, you agree to cancel the transaction immediately.
Communications
You hereby agree and consent to receive communications including SMS, e-mails, WhatsApp messages, phone calls or other modes of communications from us.
Alteration or Amendments to the Conditions
The Company reserve the right to make changes to the policies and these Conditions at any time. You will be subject to the policies and Conditions in force at the time you place your offer in relation to the product, unless any change to said policies or Conditions is required to be made by law or government authority (in which case it will apply to orders previously placed by you).
If any of these Conditions is deemed invalid, void, or for any reason unenforceable, that condition will be deemed severable and will not affect the validity and enforceability of any remaining conditions.
Events beyond reasonable control
The Company shall not be held responsible for any delay or failure to comply with our obligations under these Conditions or the contract if the delay or failure arises from any cause which is beyond our reasonable control.
Assignment
You shall not assign any of your rights or obligations hereunder, without prior written consent of the Company.
Waiver
If you breach these conditions and there is no action, the Company will still be entitled to use our rights and remedies in any other situation where you breach these conditions.
Notices
All notices and claims must be in writing, to the last communicated address or email ID of respective party.
Governing Law and Jurisdiction
These Terms and conditions shall be governed and construed in accordance with the laws of India and shall be subject to the exclusive jurisdiction of courts at Noida. The United Nations Convention on International Sale of Goods shall not apply.
